By accessing the Site or engaging Radian Advisory Partners for Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services.
1. About Our Services
Radian Advisory Partners provides technology and IT advisory services, including but not limited to:
- IT Strategy (technology roadmaps, IT maturity assessments, and investment business cases)
- Digital Transformation (process optimization and digital tool implementation)
- Vendor Selection (vendor evaluation, market research, and due diligence support)
- Implementation Oversight (project governance and coordination during technology deployments)
The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate Statement of Work (“SOW”) or signed Agreement between Radian Advisory Partners and the Client. These Terms apply in addition to, and do not replace, any executed Agreement or SOW. In the event of a conflict, the executed Agreement or SOW will govern.
2. Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. You may not:
- Use the Site in any way that violates applicable local, state, national, or international law
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems connected to the Site
- Use any automated system, including “bots” or “scrapers,” to access the Site without our prior written permission
- Transmit any viruses, malware, or other harmful code through the Site
3. Intellectual Property
All content on the Site, including text, graphics, logos, images, and the overall design and layout, is the property of Radian Advisory Partners or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content from the Site without our prior written consent, except as necessary for your personal, non-commercial use of the Site.
Unless otherwise agreed in a signed SOW, any deliverables created specifically for a Client under a Services engagement become the property of the Client upon full payment, while Radian Advisory Partners retains ownership of its pre-existing methodologies, tools, templates, and know-how.
4. Engagement of Services
Engagement of Radian Advisory Partners’ Services is subject to a mutually signed Agreement or SOW that will detail the scope of work, fees, payment terms, timeline, and other engagement-specific terms. Submitting an inquiry through the Site’s contact form does not constitute an engagement of Services or create any obligation on either party until a formal Agreement or SOW has been signed by both parties.
5. Fees and Payment
Fees for Services are set out in the applicable Agreement or SOW and may be structured as fixed project fees, monthly retainers, or hourly rates. Unless otherwise stated in the Agreement, invoices are due within the timeframe specified in the Agreement, and late payments may be subject to interest charges as described therein.
6. No Guarantee of Results
While Radian Advisory Partners uses commercially reasonable efforts and industry expertise to deliver high-quality advisory services, we do not guarantee any specific business outcome, financial result, or return on investment. Recommendations provided are based on the information available at the time and are intended to support, not replace, the Client’s own business judgment.
7. Third-Party Links
The Site may contain links to third-party websites. These links are provided for convenience only. Radian Advisory Partners does not endorse and is not responsible for the content, privacy practices, or accuracy of any third-party sites.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Radian Advisory Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or the Services. Our total liability for any claim arising from a Services engagement shall not exceed the total fees paid by the Client under the applicable Agreement or SOW in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Radian Advisory Partners, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or violation of these Terms.
10. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices or for legal or operational reasons. The “Last Updated” date at the top of this page indicates when these Terms were last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, USA, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maryland.
